When to choose a VCC

You need sub-fund flexibility and open-end capacity

The VCC is a modern fund umbrella under the Variable Capital Companies Act 2022. One Global Business Licence covers the umbrella regardless of how many sub-funds you add.

Sub-funds are ring-fenced and can elect for separate legal personality. Cross-investment between sub-funds is permitted, subject to anti-circular rules.

The VCC suits multi-strategy managers, Africa-focused asset managers, and family offices consolidating multiple portfolios under one regulated entity.

When to choose a CIS

You need a simpler closed-end structure

The CIS (Closed-End Fund) is a collective investment scheme under the Securities Act 2005. It pools capital from investors for a fixed term with a defined exit strategy.

CIS structures are simpler to set up and operate than VCCs. They are suited to single-strategy, fixed-life investment vehicles with a defined harvest period.

The CIS suits private equity, real-estate funds, and infrastructure projects with a clear timeline and exit strategy.
