As the global digital asset industry continues to mature, jurisdictions that offer regulatory clarity are attracting increasing interest from blockchain entrepreneurs, crypto exchanges, fintech innovators, and institutional investors.

Mauritius has emerged as one of Africa's leading jurisdictions for virtual asset businesses through the introduction of the Virtual Asset and Initial Token Offering Services Act (VAITOS). The framework provides a clear licensing regime for Virtual Asset Service Providers (VASPs) while aligning with international standards and anti-money laundering requirements.

What Is a VASP?

A Virtual Asset Service Provider (VASP) is an entity that conducts business activities involving virtual assets, including cryptocurrency exchanges, wallet services, custody solutions, and related advisory services.

Under the Mauritian regulatory framework, any entity providing qualifying virtual asset services in or from Mauritius must obtain the appropriate licence from the Financial Services Commission (FSC) before commencing operations.

The Five VASP Licence Classes

The FSC currently offers five classes of VASP licences, each designed to regulate a specific category of virtual asset activity. Businesses may hold one or multiple licence classes depending on their business model and subject to FSC approval.

Class M: Virtual Asset Broker-Dealer

The Class M licence is intended for businesses engaged in exchange of virtual assets for fiat currencies, exchange between different virtual assets, cryptocurrency brokerage activities, and trading services involving digital assets. This category is commonly used by crypto trading platforms, OTC trading desks, and broker-dealers facilitating transactions on behalf of clients.

Class O: Virtual Asset Wallet Services

The Class O licence covers businesses providing wallet-related services for virtual assets, including transfer of virtual assets, wallet administration services, digital wallet infrastructure, and transaction facilitation services. This category is particularly relevant for fintech companies offering hosted wallet solutions to users and institutions.

Class R: Virtual Asset Custodian

The Class R licence applies to businesses that safeguard or administer virtual assets on behalf of clients. Responsibilities include safekeeping client assets, private key management, institutional custody services, and asset administration functions. Given the heightened risks associated with asset custody, firms in this category are generally expected to implement robust operational, cybersecurity, and risk management controls.

Class I: Virtual Asset Advisory Services

The Class I licence is designed for entities providing advice related to virtual assets and digital asset investments. Services may include cryptocurrency investment advice, token-related advisory services, blockchain investment consulting, and digital asset strategy services.

Class S: Virtual Asset Marketplace

The Class S licence is required for operators of virtual asset exchanges or marketplaces. These platforms facilitate trading of virtual assets, exchange between virtual assets and fiat currencies, matching of buyers and sellers, and marketplace operations for digital assets. The FSC considers virtual asset exchanges among the most significant VASP activities due to their impact on market integrity, investor protection, and AML/CFT compliance.

Key Licensing Requirements

Applicants generally need to demonstrate:

  1. 01

Management and Control in Mauritius — The business should be effectively managed and controlled from Mauritius and maintain sufficient operational substance locally.

  2. 02

Physical Presence — Applicants are expected to maintain physical premises and establish genuine economic substance within the jurisdiction.

  3. 03

Governance Framework — The FSC requires fit and proper directors, senior management, and shareholders capable of managing regulated virtual asset activities responsibly.

  4. 04

AML/CFT Compliance — VASPs are subject to strict anti-money laundering and counter-terrorist financing obligations, including customer due diligence, transaction monitoring, record keeping, and suspicious transaction reporting.

Can a Business Hold Multiple Licence Classes?

Yes. Many digital asset businesses operate multiple services under a single group structure. For example, a crypto exchange may require both Class S and Class R. A wallet provider offering custody services may require Class O and Class R. A digital asset platform providing trading and advisory services may require Class M and Class I.

For entrepreneurs and investors seeking regulatory certainty while expanding into Africa and international markets, Mauritius offers an attractive platform for growth.
