Mauritius Trust vs Foundation: Which Wealth Structuring Vehicle Is Right for You?

A practical comparison of the two principal fiduciary structures — legal ownership, governance, control, and administration.

High-net-worth individuals, family offices, entrepreneurs, and international investors are increasingly looking for robust structures to protect assets, facilitate succession planning, and preserve wealth across generations.

In Mauritius, two of the most popular wealth structuring vehicles are Trusts and Foundations. While both can be highly effective tools for asset protection and estate planning, they differ significantly in terms of legal ownership, governance, control, and administration.

Understanding a Mauritius Trust

A trust is a legal arrangement whereby a person (the Settlor) transfers assets to a Trustee, who holds and administers those assets for the benefit of designated beneficiaries. The trust itself does not have a separate legal personality. The relationship is governed by a trust deed which sets out the powers, duties, and rights of all parties involved.

Typical Uses of a Trust

Mauritius trusts are commonly used for:

  1. 01

    Family wealth preservation

  2. 02

    Succession planning

  3. 03

    Asset protection

  4. 04

    Holding investment portfolios

  5. 05

    Charitable purposes

  6. 06

    Protection of vulnerable beneficiaries

  7. 07

    Cross-border estate planning

Understanding a Mauritius Foundation

A foundation is a legal entity established through the contribution of assets by a founder for a specified purpose. Unlike a trust, a foundation possesses its own separate legal personality. Assets belong to the foundation itself, and the foundation acts through a Council. Foundations are often viewed as a hybrid between a company and a trust.

Typical Uses of a Foundation

Mauritius foundations are frequently used for:

  1. 01

    Family wealth succession

  2. 02

    Asset holding structures

  3. 03

    Philanthropic activities

  4. 04

    Family office arrangements

  5. 05

    Holding family businesses

  6. 06

    Preservation of family legacy

  7. 07

    International investment structures

Key Differences

The main distinctions between a trust and a foundation:

  1. 01

Legal Personality — A trust does not have separate legal personality; a foundation is a separate legal person that can hold assets, enter contracts, and sue or be sued in its own name.

  2. 02

Ownership of Assets — In a trust, assets are legally owned by the Trustee; in a foundation, assets become the property of the foundation itself.

  3. 03

Governance — Trust governance centres around the Trustee with fiduciary duties; foundation governance is carried out by a Foundation Council with the Founder able to retain influence.

  4. 04

Succession Planning — Trusts are effective where beneficiaries and distributions may evolve; foundations are preferred where the founder wishes to establish a long-term family governance structure with clearly defined succession rules.

Which One Should You Choose?

A trust may be more suitable if you require maximum flexibility in distributions, wish to benefit future generations through discretionary arrangements, are familiar with common law concepts, or require strong asset protection features.

A foundation may be more suitable if you prefer a structure with separate legal personality, come from a civil law jurisdiction, desire a corporate-style governance framework, or intend to establish a long-term family legacy structure.
