Mauritius Beneficial Ownership Reporting: What Companies Need to Know
Understanding beneficial ownership obligations, the central register, written declarations and ongoing compliance requirements.
Transparency and corporate governance have become central pillars of the global regulatory landscape. As part of its ongoing commitment to international anti-money laundering (AML), counter-terrorist financing (CFT), and transparency standards, Mauritius has strengthened its beneficial ownership reporting framework and introduced more robust disclosure requirements for companies operating in the jurisdiction.
What Is Beneficial Ownership?
A beneficial owner, often referred to as an Ultimate Beneficial Owner (UBO), is the natural person who ultimately owns or controls a company or on whose behalf a transaction or activity is conducted. Ownership or control may be exercised directly or indirectly through shareholdings, voting rights, ownership interests, or other means of control.
Who Must Comply?
The beneficial ownership reporting requirements apply broadly across companies incorporated in Mauritius, including both domestic companies and global business entities. In practice, these obligations affect private companies, Global Business Corporations (GBLs), investment holding companies, family-owned businesses, special purpose vehicles, and regulated financial services entities.
Who Qualifies as a Beneficial Owner?
Mauritius has adopted a relatively stringent approach to beneficial ownership identification. Generally, any natural person who directly or indirectly owns or controls a prescribed ownership interest, voting rights, or exercises ultimate control over a company may be considered a beneficial owner. Certain recent guidance has highlighted a 20% threshold for identifying beneficial ownership in specified circumstances, although control can also exist independently of a shareholding percentage.
What Information Must Be Maintained?
Companies are generally required to maintain:
- 01
Full name
- 02
Residential address
- 03
National identity card or passport number
- 04
Nationality or citizenship
- 05
Details of the ownership or control structure
- 06
Supporting documentation evidencing beneficial ownership
Written Declarations by Beneficial Owners
One of the significant enhancements to the Mauritian framework is the requirement for beneficial owners and ultimate beneficial owners to provide formal written declarations confirming their status. Companies must obtain, retain, and maintain these declarations as part of their compliance records. The obligation is not a one-time exercise — beneficial owners are expected to notify the company whenever there is a change affecting their ownership or control position.
The Beneficial Ownership Register
Mauritius has established a framework for the maintenance of beneficial ownership information and the creation of a central beneficial ownership register accessible to competent authorities. The register is intended to facilitate regulatory oversight, investigations, and compliance monitoring.
Appointment of an Authorised Officer
Recent legislative developments also require companies to appoint an Authorised Officer and an Alternate Officer who are ordinarily resident in Mauritius. These officers play an important role in ensuring that beneficial ownership information is available to competent authorities when legally requested.
Risks of Non-Compliance
Failure to comply can expose companies to:
- 01
Regulatory penalties
- 02
Increased scrutiny from regulators
- 03
Delays in licence applications or renewals
- 04
Banking and onboarding difficulties
- 05
Reputational risks
- 06
Compliance issues during audits and due diligence reviews
